I’ve read about this distinction tonight preparing to change the number of people listed from one to two. Here’s my summary. It’s like a marriage license. Husbands and wives or husbands and husbands or wives and wives don’t know the legal and financial choices they’re making until it’s time to divorce. One of several exceptions is wealthy families who require a prenuptial agreement before a family member says, “I do”. In the case of a prenuptial that says ninety percent of the marital property is rich-family owned at time of the divorce that prenuptial agreement overrides the rules of the state that issues the license at time of divorce. In this analogy a an operating agreement is like a prenuptial agreement. In the event a married couple does not have a prenuptial, then the rules of the state rule divorce. The rules that define marriage in a state or a prenuptial that defines a marriage says nothing about how the marriage is run when it’s functioning. The rules of the state or the prenuptial rule only when the married couple can no longer agree.
